These Terms and Conditions govern your use of the application ‘Things to Do with Kids’ (hereinafter referred to as “the App”) and any related services or products provided by Moonshot Ventures LLC.

By accessing the App, you (to be construed as meaning yourself, your users, and other parties you represent) agree to abide by these Terms and Conditions and to comply with all applicable laws and regulations. If you do not agree with these Terms and Conditions, you are prohibited from using or accessing this App or other services or sites provided by Moonshot Ventures LLC.

We, Moonshot Ventures LLC, reserve the right to review and amend any of these Terms and Conditions at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms and Conditions will take effect immediately from the date of publication.

1. General Use of the App—Permissions

You may access and use the App or its content for personal, noncommercial use. Use of the App is only permitted for lawful purposes and in a manner which is not in breach of the law and which does not infringe upon any of the rights or restricts the use and enjoyment of this site by any third party. Such restriction shall include, but is not limited to, harassment, defamatory conduct, obscene or abusive content, offensive language, distress to third parties and any other conduct which may be deemed inappropriate.

You hereby warrant that you are more than 18 years of age, and/or possess all required approvals and consents including legal guardian or parental consent for use of this site. You further warrant that you are fully able and competent to enter into these Terms and Conditions and abide by them.

Moonshot Ventures LLC reserves all rights not expressly granted in these terms and conditions.

2. Limitations of Use

By using the App, you will not reproduce, distribute, or make derivative works of the App or any of the contents thereof without the express consent of Moonshot Ventures LLC. You agree not to alter or modify any part of the App. You agree not to circumvent, disable or otherwise interfere with security-related features of the App or features that prevent or restrict use or copying of any content or enforce limitations on use of the App or the Content therein. You agree that you will not systematically retrieve data or other content from the App by any means, and you will not compile a database or directory of information extracted from the App.

You agree not to use the App for any use or purpose not permitted within these Terms and Conditions without the prior written authorization of Moonshot Ventures LLC. Prohibited uses include, without limitation, any of the following actions taken without the express approval of Moonshot Ventures LLC: sale of access to the App; use of the App or its related services, for the primary purpose of gaining advertising or subscription revenue; the sale of advertising on the App; the sale of advertising on any third-party website targeted to the content of specific User Submissions; and any use of the App or its related services that Moonshot Ventures LLC finds, in its sole discretion, to use Content or User Submissions with the effect of competing with or displacing the market for the App content or its User Submissions.

You agree not to use or launch any automated system, including without limitation "robots," "spiders," or "offline readers," that accesses the App in a manner that sends more request messages to the App’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser unless you have signed a formal license with Moonshot Ventures LLC to perform such actions.

You agree not to collect or harvest any personally identifiable information, including account names and e-mail addresses, from the App, or to use the communication systems provided by the App for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the App with respect to their user submissions.

Furthermore, you agree not to:

Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
Remove any copyright or other proprietary notations from any materials and software on this website;
Transfer the materials to another person or “mirror” the materials on any other server;
Knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Moonshot Ventures LLC provides;
Use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
Use this website or its associated services in violation of any applicable laws or regulations;
Use this website in conjunction with sending unauthorized advertising or spam;
Harvest, collect, or gather user data without the user’s consent;
Transmit or introduce to the App or to other users thereof any viruses, cancel bots, Trojan horses, flood pings, denial of service attacks, or any other harmful code or processes;
Infringe the rights of any third party, including but not limited to any intellectual property rights, privacy rights, publicity rights or contractual rights;
Transmit or submit harmful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, obscene, indecent, vulgar, lewd, violent, hateful or otherwise objectionable content or material;
Transmit or submit any unsolicited advertising, promotional materials, or spam;
Stalk or harass any user or visitor to the App; or
Use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

3. Data collection and use

Moonshot Ventures LLC may collect both personal and non-personal information about the mobile device you use to access Moonshot Ventures LLC online services as well as information about your visit. This information may include Internet Protocol (IP) address, geolocation information, unique device identifiers, browser type, browser language and other transactional information. This information assists in understanding which pages Moonshot Ventures LLC’s visitors are visiting and how much time they spend there. Moonshot Ventures LLC uses the information gathered to enable your use of Moonshot Ventures LLC online services, fulfil your requests for certain products and services, such as sending out electronic newsletters and enabling you to participate in our services such as polls, and message boards. 4. Intellectual Property

The intellectual property in the materials contained in the App are owned by or licensed to Moonshot Ventures LLC and are protected by applicable copyright and trademark law. We grant our users permission to use the App for personal, non-commercial transitory use. This permission shall automatically terminate if you violate any of these restrictions or the Terms and Conditions, and may be terminated by Moonshot Ventures LLC at any time.

5. User Submissions

Various parts of this site allow for users to add notes, favorite ideas, or post ideas to the site (hereinafter referred to as “User Submissions”). These include suggestions regarding things to do with kids, favorite ideas, personal information, photographs, videos, audio materials, written scripts, articles, opinions or any other form of material. Such User Submissions shall be subject to the following conditions:

5.1 By submitting any material to this App, you accept to provide a non-revocable, unlimited Global licence to the User Submissions to Moonshot Ventures LLC and who in turn shall have the right to use, distribute, modify, alter or delete parts of the User Submission as per its own discretion and on any platform or media whatsoever and without any compensation to the submitter.

5.2 User Submissions may be used by Moonshot Ventures LLC for any purpose including, but not limited to reproduction, broadcasting, transmission, editing, cutting, reformation, adapting, posting, or any other use as per the sole discretion of Moonshot Ventures LLC.

5.3 You shall be solely responsible for your own submissions and any claims, damages, third party rights, as well as any legal action or proceeding arising out of the use and submission of this material.

5.4 By submitting any User Submission, you hereby affirm, represent and warrant that you have the right to submit such material, and that you have obtained all necessary clearances, licences, consents, rights and permissions to use and authorise Moonshot Ventures LLC to use any material submitted, including the rights to all patents, trademarks, trade secrets, copyright or other proprietary rights in any and all User Submissions.

5.5 You undertake that you will not submit or disclose on this site any material or information that is protected by or subject to any copyright, trade secret or any third party proprietary rights, including privacy and publicity rights, unless all rights have been obtained from the rights owners to submit the material and/or information and grant the licence indicated herein to Moonshot Ventures LLC.

5.6 You further undertake not to submit any material or information that is deemed unlawful, obscene, defamatory, libelous, political, threatening, pornographic, harassing, hateful, racially offensive, considered as a criminal offence, gives rise to a civil liability, encourages criminal action or violates the law, culture or internationally acceptable norms and codes of ethics.

5.7 You hereby grant Moonshot Ventures LLC a global, royalty-free, transferable licence to broadcast, distribute, display, reproduce, cut, edit, re-edit, delete, sell or modify the material or information submitted by you without any limitation whatsoever, in any media format and on any platform at the sole discretion of Moonshot Ventures LLC. This Licence shall not be limited by period or territory. The license you grant us can be terminated at any time by deleting your content or account. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

5.8 You hereby further assign to Moonshot Ventures LLC (by way of permanent assignment of present and future copyright) all rights of any nature in and to such material throughout the world including all renewals and reversions thereof.

5.9 Moonshot Ventures LLC shall have the right and final say on display of User Submissions, and under no circumstances is Moonshot Ventures LLC obliged to display or include on this site all or part of any User Submission.

6. Disclaimer and Limitation of Liability

6.1 You agree that your use of the App shall be at your sole risk. To the fullest extent permitted by law, Moonshot Ventures LLC, its officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the App and your use thereof. Moonshot Ventures LLC makes no warranties or representations about the accuracy or completeness of this App's content or the content of any website linked to this App, and assumes no liability or responsibility for any:

(a) errors, mistakes, or inaccuracies of content;

(b) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the App;

(d) any interruption or cessation of transmission to or from the App;

(e) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the App by any third party; and/or

(f) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed, transmitted, or otherwise made available via the App.

6.2 Moonshot Ventures LLC does not warrant, endorse, guarantee, or assume any responsibility for any product or service advertised or offered by a third party through the App or any hyperlinked website or featured in any banner or other advertising, and Moonshot Ventures LLC will not be a party to or in any way be responsible for monitoring any transaction between you and the third-party providers of products or services. In no event shall Moonshot Ventures LLC, its officers, directors, employees, or agents be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any:

(a) errors, mistakes, or inaccuracies of content;

(b) personal injury or property damage of any nature whatsoever, resulting from your access to and use of the App;

(d) any interruption or cessation of transmission to or from the App;

(e) any bugs, viruses, trojan horses or the like, which may be transmitted to or through our App by any third party, and/or

(f) Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, e-mailed, transmitted, or otherwise made available via the App, whether based on warranty, contract, tort, or any other legal theory, and whether or not Moonshot Ventures LLC is advised of the possibility of such damages.

The foregoing limitations of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

You specifically acknowledge that Moonshot Ventures LLC shall not be liable for User Submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

In no event shall Moonshot Ventures LLC or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Moonshot Ventures LLC or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

The App is controlled and offered by Moonshot Ventures LLC from its facilities in the United States of America. Moonshot Ventures LLC makes no representations that the App is appropriate or available for use in other locations. Those who access or use the App from other jurisdictions do so at their own volition and are responsible for compliance with local law.

7. Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. Moonshot Ventures LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

The App is provided on an 'as is' basis. To the extent permitted by law, Moonshot Ventures LLC make no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

8. Indemnity

You agree to defend, indemnify, and hold harmless Moonshot Ventures LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the App; (b) your violation of any term of these Terms and Conditions; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms and Conditions and your use of the App.

9. Links

Moonshot Ventures LLC has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Moonshot Ventures LLC of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

10. Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms and Conditions immediately without written notice to you for any breach of these Terms and Conditions.

11. Severance

Any term of these Terms and Conditions which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms and Conditions is not affected.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of California, USA. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

13. Assignment

These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Moonshot Ventures LLC without restriction.

14. Revisions

Moonshot Ventures LLC may, in its sole discretion, modify or revise these Terms and Conditions and policies, including the privacy policy, at any time, effective immediately upon notice to you either by (1) electronic mail or conventional mail or (2) posting to the site (which shall be deemed constructive notice). Your continued use of the site following notice of any modification shall be conclusively deemed an acceptance of all such modification(s). Nothing in this agreement shall be deemed to confer any third-party rights or benefits.
